Terms and Conditions

Terms and Conditions Last Updated: February 5, 2026

These Terms and Conditions ("Terms") govern your access to gorillaapex.com (the "Site") and use of Gorilla Apex managed IT services ("Services"). By accessing the Site or engaging our Services, you agree to these Terms.

1. Services We provide managed IT support, cybersecurity, cloud management, backup/recovery, infrastructure, and intelligence services as described in your Service Agreement / Statement of Work ("SOW"). Services are provided remotely unless otherwise agreed.

2. Client Responsibilities You agree to:

  • Provide accurate information and timely access to systems.
  • Maintain backups outside our Services.
  • Notify us promptly of issues.
  • Comply with applicable laws.

3. Fees and Payment Fees are flat-rate as stated in your SOW/invoice. Payments are due [Net 15/30] days. Late payments accrue 1.5% monthly interest. We may suspend Services for non-payment after notice.

4. Term and Termination Services continue month-to-month or per SOW term. Either party may terminate with [30/60] days' written notice. We may terminate immediately for breach, non-payment, or illegal use. Upon termination, you pay all outstanding fees; we assist transition (additional fees may apply).

5. Limited Warranty & Disclaimer We warrant Services will be performed professionally. No other warranties (express/implied). We are not liable for third-party software/hardware failures, data loss beyond agreed scope, or indirect/consequential damages. Liability capped at fees paid in prior 12 months.

6. Confidentiality We treat your data confidentially and use it only to provide Services. You grant us limited license to access systems as needed.

7. Intellectual Property We retain rights to our tools, processes, and deliverables (unless paid work product). You grant us license to use anonymized data for service improvement.

8. Indemnification You indemnify us against claims arising from your data/content or misuse of Services.

9. Governing Law These Terms are governed by laws of [Your State, e.g., California], without regard to conflict of laws.

10. Changes We may update Terms. Continued use constitutes acceptance.
